M & A Works:

• Be able to work on a broad mix of transactions, including public and private M&A (including divestments), joint ventures, and securities offerings.
• Most of the work will have an international dimension and will range from larger scale, complex cross border transactions to smaller deals which provide greater leadership responsibility.

Projects Works:

• Advise on corporate/commercial projects, including new offices/entities, reorganizations and/or joint ventures.
• Review, draft and negotiate a wide range of agreements and providing legal advice on business issues.

• Provide proactive legal services, supporting SCG Group in M&A legal matters including in relation to business strategy, performance and risk management.
• Working on a wide variety of complex private and public M&A transactions, with responsibility for progressing key legal workstreams.
• Lead M&A practice with responsibility for driving it forward due diligence, drafting and review of a variety of agreements including heads of terms, confidentiality agreements, SPA and related documents.
• Lead in liaising with key stakeholders such as planning division, secretary office, treasury, HR and accounting as well as external stakeholders such as external counsel, accountants, corporate financiers, investment banking and corporate broking.
• Be able to create investment conclusions and similar presentations for SCG M & A management for aiding decision making in these sensitive transactions.
• Working as part of a team including assisting with the supervision of junior lawyers' work and taking an active part in sharing knowledge and experience with the team.

• Bachelor's or Higher degree in Law.
• 3-7 years lawyer experience in Mergers and Acquisitions laws.
• Strong knowledge in M&A laws; e.g. M&A advisory, Due diligence, Restructuring.
• Have knowledge and understanding about corporate governance principles and best practices.
• Good interpersonal skills and the ability to work well with others.
• The ability to prioritize work and to work well under pressure.
• Analytical and problem-solving skills, particularly ability to think spontaneously.
• Fluent in English both verbal and written.
