Key Responsibilities

• 
  Commercial & Contractual Legal Matters

  • Draft, review and negotiate commercial agreements, including procurement, service, supply, lease, consultancy, NDA, MOU and other business-related agreements.
  • Review contractual terms and identify legal, commercial and operational risks.
  • Provide legal support on contract interpretation, negotiations and contractual issues.

• 
  Energy & Project-Related Legal Support

  • Provide legal support for the Company's energy business and projects, including conventional power, renewable energy and related activities.
  • Review and negotiate project-related agreements, including PPAs, EPC, O&M and other project agreements.
  • Support legal due diligence and legal work relating to investments, acquisitions, joint ventures and other transactions.

  Legal Advisory & Research

  • Conduct legal research and provide legal analysis on issues arising from the Company's business operations.
  • Review applicable laws, regulations and regulatory requirements relevant to assigned matters.
  • Assess legal implications of business arrangements and provide practical recommendations.

• 
  Legal Risk Management

  • Identify and assess legal and contractual risks arising from assigned matters.
  • Evaluate the legal and commercial impact of contractual provisions and business arrangements.
  • Recommend risk mitigation measures and escalate material or high-risk matters where appropriate.

• 
  Corporate Legal Awareness

  • Maintain awareness of corporate legal, governance and organizational matters relevant to the Company's business.
  • Coordinate with the Corporate Secretary on matters requiring legal support or legal input.
  • Provide legal support on corporate matters as assigned.

• 
  Internal Stakeholder & External Counsel Coordination

  • Work closely with business units and support functions to provide appropriate legal support.
  • Coordinate with Procurement, Finance, Operations, HR and other relevant stakeholders on assigned matters.
  • Liaise with external legal counsel and service providers when required.

• 
  Legal Team Support

  • Assist the Legal Counsel in managing and tracking legal matters and priorities.
  • Support legal training and knowledge-sharing activities for internal stakeholders.
  • Perform other legal assignments as reasonably assigned by the Legal Counsel.

Qualifications

• Bachelor's or Master’s degree in law from a Thai or international university.
• 3+ years of experience in commercial and/or construction contract review.
• Experience in the energy, power, renewable energy, infrastructure, construction or related industry is preferred.
• Experience in drafting, reviewing and negotiating commercial agreements.
• Experience in litigation, dispute resolution, claims or arbitration is preferred.
• Good command of written and spoken English, with the ability to draft and review legal documents and correspondence in English.
