• Provide legal advice and support various functions and work on agreements and other legal documents (contract review, drafting and negotiation & settlement of dispute) relating to M&A / New investment projects related agreements and corporate matters for JV entities (domestic and international) including:
  • Due diligence activities
  • Share Purchase/Subscription Agreement
  • Shareholders Agreement
  • Joint Venture Agreement
  • Procurement Agreement (until operation commencement)
  • Brand/ Trademark licensing Agreement
  • Product Supply/Distribution Agreement other related documents (e.g. NDAs, corresponding letters)
• Provide legal advice and support and work on agreements and other legal documents (contract review, drafting and negotiation & settlement of dispute) relating to Manufacturing and supply chain related including:
  • Sale Agreement
  • OEM Agreement
  • Product Licensing
• Provide accurate legal advice and support various functions and work on agreements and other legal documents (contract review, drafting and negotiation & settlement of dispute) relating to Financing of the new investment project including:
  • Credit Facility Agreements
  • Guarantee Agreements
  • other Security Agreements /document
• Perform other related duties as assigned

Qualifications

• 7-10 years of experience in international legal consulting or in FMCG business organizations, working on corporate laws and M&A field.
• Be able to communicate in English (speaking, writing, reading and listening) fluently.
• Be able to advise, prepare, negotiate, and conclude the business contracts, both internally and externally
• Be able to manage and illustrate legal risks and implications (including solution and risk mitigation) to business team when executing the project or new business of Osotspa
• Possess legal analytical mind and analytic skill.
• Have interpersonal skill and be able to communicate with and work with various functions and have solution-oriented mindset.
• Be able to perform multi-tasking jobs and work under pressure and/or intense situation.
