About the Role

Nerd & Co., a member of the Finema Group, is looking for an experienced and business-minded Head of Legal to join our executive leadership team.

In this role, you will serve as the principal legal advisor and strategic partner to the CEO, playing a key role in shaping business strategy, strengthening corporate governance, managing enterprise-wide legal risks, and enabling sustainable business growth.

This is more than a legal leadership role. We're looking for someone who sees legal as a business enabler—someone who can bridge complex legal matters with commercial decision-making while helping build a strong legal foundation for a fast-growing technology company.

Key Responsibilities

• Partner closely with the CEO and executive leadership team to provide strategic legal advice and support key business decisions.

• Develop and execute the company's legal strategy to align with long-term business objectives and organizational growth.

• Lead enterprise-wide legal risk assessment and mitigation, ensuring legal risks are proactively identified and effectively managed across the organization.

• Establish and strengthen corporate governance, compliance frameworks, and internal policies across the group companies.

• Provide legal guidance on commercial contracts, strategic partnerships, investments, and other high-value business transactions.

• Lead negotiations for critical commercial agreements while balancing legal protection with business objectives.

• Manage legal matters involving regulatory authorities, disputes, investigations, and business-critical situations to protect the company's interests and reputation.

• Drive Legal Operations (LegalOps) transformation by improving legal processes, workflows, documentation, and technology to enhance operational efficiency.

• Build strong relationships with regulators, external legal counsel, business partners, and other key stakeholders.

Qualifications

• Bachelor's Degree in Law (LL.B.). A Lawyer License is an advantage.

• 7–10+ years of experience in corporate legal, commercial law, governance, or compliance, gained from a leading law firm and/or an in-house legal department.

• Proven experience advising CEOs, executive management, or senior business leaders on strategic legal matters.

• Strong knowledge of corporate governance, enterprise risk management, commercial contracts, regulatory compliance, and corporate legal practices.

• Excellent business acumen with the ability to balance legal risks and commercial opportunities.

• Strong leadership, negotiation, communication, and stakeholder management skills.

• Excellent command of both Thai and English.

Preferred Qualifications

• Experience in technology, software, digital platforms, fintech, or startup environments.

• Experience leading Legal Operations (LegalOps) transformation.

• Experience supporting M&A, fundraising, corporate restructuring, or regional business expansion.
