Corporate Lawyer (New Graduate are Welcome)
atAscend Group Co., Ltd.- Prepare, draft, and review commercial contracts both in Thai and English to ensure that terms and conditions comply with applicable law and regulation and properly protect the company's interest.
- Prepare and provide any legal documents such as Power of Attorney, documents relating to business and corporate law.
- Provide any legal advices to all related parties of the company and ensure that contracts are in compliance with applicable laws and regulations; work with business and other functions to align contracts with company policies and governance protocols and controls.
- Coordinate with related departments, e.g. commercial, business units in negotiating legal terms and conditions, or help them understanding legal terms and conditions, legal consequences.
- Undertaking arrangements for meetings of the board, and the shareholders.
- Ensuring that the meetings conform to relevant laws and regulations, the Company's articles of association, individual board charters, and best practices
- Communicating the board's and shareholders' resolutions and policies to management and follow up their implementation
- Providing preliminary advice and recommendations pertaining to legal, regulatory, and governance issues and practices related to the board.
- Ensure that signed contracts are communicated to all relevant parties to provide contract visibility and awareness, interpretation to support implementation.
- Cooperate with government officer, external lawyer, and other third parties on all legal matters.
- Managing the secretarial office to serve as the center for corporate records such as the juristic person register, the memorandum and articles of association, the shareholder register, and business licenses.
- Ensuring that corporate information disclosure and related regulatory filings are in accordance with laws and regulations
- Acting as administrative officer with regard to board matters e.g. making appointment with the board for the meetings.
- Bachelor's degree or higher in Laws.
- Law degree from an accredited top law school with a demonstrable superior academic record and training.
- Minimum of 5 years of experience in both Law Firms is preferable.in both law firm and in-house.
- Experience in drafting international and domestic commercial contracts.
- Be a fast learner with strong working ethic and service mind.
- Ability to provide proactive, creative legal solutions with a business-oriented mind;
- Meticulous attention to detail in the legal reviews of contracts and other legal documents;
- Ability to learn new areas of law required to support the dynamic and fast-changing business requirements;
- Ability to prioritize tasks and manage multiple projects with tight deadlines;
- Ability to gain credibility and manage expectations within the organization, and work well in cross-functional team settings;
- Ability to develop strong working relationships with legal colleagues and business units across the region.
