Role Summary

PropertyScout is looking for a business-minded Legal Counsel to support commercial, corporate, regulatory, and

transaction-related legal matters across our real estate transaction platform.

This role goes beyond day to day contract review. You will work directly with senior management on commercial

agreements, governance, BOI and foreign business matters, data privacy, digital platform topics, fundraising, M&A, and IPO-readiness projects.

Responsibilities

1. Commercial & Business Legal Support

● Draft, review, and negotiate commercial agreements with partners, vendors, customers, agents, landlords, and

owners

● Advise business teams on practical legal risks and solutions that support growth

● Build scalable contract templates, legal processes, and internal policies

● Coordinate with external legal counsel on major corporate transactions, critical legal projects, or litigation

matters

2. Corporate, Regulatory & Governance

● Support corporate governance, board and shareholder documentation, and investor-related legal processes

● Work on BOI, foreign business law, licensing, employment-related, and real estate platform legal topics

● Coordinate with external counsel for specialized matters in Thailand, Singapore, and other markets

3. Digital Business, Data Privacy & Strategic Projects

● Support PDPA, data privacy, digital platform, technology vendor, and marketing compliance matters

● Assist fundraising, M&A, due diligence, investor documentation

● Work with the senior management team to prepare the company for future financing rounds and potential IPO

● Help build a strong legal foundation for a fast-growing, venture-backed technology business

Requirements

● Excellent Bachelor’s degree in Law from a reputable university.

● Thai lawyer license

● 5 years of legal experience in a leading law firm and/or company, preferable in the digital space

● Deep commercial law experience, including drafting and reviewing contracts

● Strong academic record, sharp legal thinking, and high attention to detail

● Business-minded, practical, collaborative, and keen to learn about business

● Strong ownership mindset, ability to work independently with minimal supervision, and proven reliability in

managing multiple topics

● Excellent communication in both Thai and English (TOEIC score 800+)

Good to have

● Experience with digital businesses, platform businesses, technology, or digital law

● Experience with BOI, foreign business law, corporate governance, M&A, fundraising, or IPO preparation

● Experience working with startups, marketplaces, real estate, or cross-border corporate matters

● Interest in building scalable legal processes, templates, and internal governance standards
