• Review, draft, and negotiate contracts, agreements, and other legal documents relating to the Company's business and operations.
• Provide practical legal advice and support to business and support functions on day-to-day business matters.
• Support corporate legal matters, regulatory registrations, and other legal documentation as required.
• Coordinate with external legal counsel on litigation, disputes, and other legal matters when necessary.
• Identify and escalate potential legal risks and support the implementation of appropriate mitigation actions.
• Support the preparation and administration of Board of Directors, Board Committee, AGM, EGM, and other shareholders' meetings.
• Coordinate meeting schedules and prepare meeting invitations, agendas, presentation materials, supporting papers, and related documentation.
• Prepare and maintain Board, Committee, shareholder, statutory, and other corporate records to ensure completeness and accuracy.
• Support the implementation and ongoing improvement of corporate governance policies, procedures, and practices.
• Monitor and coordinate required corporate filings and disclosures with relevant regulatory authorities, including the SEC and Stock Exchange of Thailand (SET), where applicable.
• About you.
• Bachelor's degree in Law or a related field; Law degree preferred.
• 3 - 5 years' experience in Legal, Company Secretariat, Corporate Governance, Compliance, or related areas.
• Experience in securities, financial services, listed companies, or regulated businesses is an advantage.
• Good knowledge of corporate governance and relevant laws and regulations.
• Strong drafting, coordination, communication, and organizational skills.
• Good command of Thai and English.
• Detail-oriented with high integrity, confidentiality, and ability to work under deadlines.
