- Corporate Governance & Board Management.
- Organize, schedule, and facilitate Board of Directors and Shareholder meetings (AGMs and EGMs) for subsidiaries in all three regions.
- Prepare and distribute high-quality board packs, agendas, and clear, accurate minutes of meetings.
- Advise the Board and management on corporate governance best practices and changes in regional regulatory requirements.
- Multi-Jurisdictional Statutory Compliance.
- Thailand: Manage compliance under the Thailand Civil and Commercial Code (CCC) and the Department of Business Development (DBD). Oversee the maintenance of the Shareholder Register, filing of the List of Shareholders (BorOrOr. 5), and corporate changes (directorships, capital increases, address changes).
- Singapore: Oversee statutory filings with the Accounting and Corporate Regulatory Authority (ACRA). Ensure strict adherence to the Singapore Companies Act, including the maintenance of Registers of Registrable Controllers (RORC) and Nominee Directors.
- Hong Kong: Manage compliance with the Hong Kong Companies Ordinance (Cap. 622) and the Companies Registry. Ensure timely filing of Annual Returns (NAR1), maintenance of the Significant Controllers Register (SCR), and business registration renewals.
- Corporate Actions & Records Management.
- Direct the incorporation, dissolution, or restructuring of group subsidiaries and joint ventures across the region.
- Maintain and securely archive all statutory books, corporate seals, share certificates, and official regional correspondence.
- Coordinate with external corporate service providers, legal counsel, and local registered agents in Singapore and Hong Kong where local physical representation is required.
- Bachelor's degree in Law, Corporate Governance, Business Administration, or a related field.
- Professional Certification: Fully qualified Charter Secretary / Chartered Governance Professional. Membership with ICSA/CGI (e.g., HKACG in Hong Kong, CSIS in Singapore, or equivalent local institutes like the Thai Chartered Secretaries Association) is highly preferred.
- Experience: Minimum of 5-8 years of corporate secretarial experience, with a proven track record handling multi-jurisdictional subsidiaries, specifically within Thailand, Singapore, and Hong Kong.
- Language Skills: Professional fluency in English is mandatory, as it serves as our primary business language. Proficiency in Thai is highly advantageous for direct communication with Thai authorities (DBD) and local stakeholders.
- Technical Knowledge: Deep familiarity with Singapore's BizFile+ (ACRA), Hong Kong's e-Registry, and Thailand's DBD e-Filing systems.
- Key Competencies.
- Cross-Border Agility: Ability to effortlessly switch contexts between the Common Law systems of Singapore/Hong Kong and the Civil Law system of Thailand.
